These Terms & Conditions ("Terms") govern your access to and use of the BackgroundPro service. By purchasing any product or service from BackgroundPro, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not place an order.

1. Company Information

BackgroundPro is a service operated by MW Marketing Partners LLC, a Wyoming limited liability company.

BackgroundPro creates custom, AI-assisted professional virtual call backgrounds based on your company logo. Each background variant is delivered in two formats: Desktop (16:9) and Mobile (9:16).

4. Order Process

  1. You select a package (with or without the Logo Creation Add-on) and complete payment via Stripe.
  2. You receive login credentials for your private customer portal via email.
  3. If you purchased the Logo Creation Add-on: you fill out a brief describing your business. We generate 3 AI logo concepts for you to review. You select your favorite (with optional free revisions). Once confirmed, your logo is used for background generation.
    If you already have a logo: you upload your company logo directly through the portal.
  4. We generate your custom background(s) and deliver them to your portal.
  5. You review each background variant individually, then approve or request a revision for each one.
  6. Once approved, you can download your backgrounds (desktop + mobile versions).
  7. At any point after delivery, you may optionally purchase portal upsells (Additional Packs, Extra Revisions, Extra Logos, Extra Logo Revisions) via the 1-click payment flow using your saved card, or via embedded Stripe Checkout if the saved card is unavailable.

5. Payment

All payments are processed securely by Stripe. We do not store your credit card or payment details on our servers — only a tokenized reference for the 1-click upsell flow. Prices are in US Dollars (USD) and include all applicable processing fees. Payment is due in full at the time of purchase.

By saving a card for 1-click upsells, you authorize us to charge that card only when you expressly confirm a portal upsell. We never charge your card without your explicit in-portal confirmation.

All portal upsells (Additional Pack, Extra Background Revision, Extra Logo, Extra Logo Revision) are non-refundable once processed and delivery begins, subject to Section 6.

6. Refund Policy

Because our Digital Products are custom-made digital goods created specifically for each customer, all sales are generally final.

We will issue a full refund only if:

Once your Digital Products have been delivered to your customer portal, the order is considered fulfilled and no refund will be issued. By completing your purchase, you acknowledge and agree that custom digital products are exempt from general return policies.

To request a refund under the qualifying conditions above, contact us at alyssa@backgroundpro.work with your order email and a description of the issue, before initiating any bank or card dispute. We aim to respond within 2 business days.

7. EU Consumer Rights & Digital Content Consent

If you are a consumer resident in the European Union, European Economic Area, or the United Kingdom, you normally have a 14-day right of withdrawal under EU Directive 2011/83/EU (Consumer Rights Directive) and equivalent national laws.

Because our service is digital content delivered on-demand, Article 16(m) of the Directive allows this right to be waived once performance has begun with your prior express consent.

By completing your purchase, you expressly consent to the immediate commencement of the digital service and acknowledge that your right of withdrawal is forfeited once we begin generating your Digital Products. You acknowledge that our service begins generating your Digital Products as soon as your logo (or logo brief) is submitted through the portal.

8. Chargeback & Dispute Policy

You agree that, before initiating any payment dispute, chargeback, or reversal through your bank or card issuer, you will first contact us at alyssa@backgroundpro.work and give us a reasonable opportunity (at least 5 business days) to resolve the issue directly.

Initiating a chargeback, reversal, or payment dispute on a fulfilled order without first exhausting this direct resolution process constitutes a material breach of these Terms and authorizes us to:

By purchasing, you acknowledge that the nature of custom AI-generated digital content means results may not perfectly match subjective expectations; such dissatisfaction is not a valid basis for a chargeback when the revision process described in Section 9 is available to address it.

9. Revisions & Approval

Each background pack (initial or additional) includes a set number of free revisions per (variant, format) combination (see Section 3). Revisions are tracked independently for each (variant, format) and each pack — unused revisions from one pack or variant do not transfer to another.

Revision requests must be submitted through the customer portal within 30 days of the first delivery for each specific pack (the Revision Window). After the 30-day Revision Window closes for a pack, no further revisions can be requested on that pack — including paid Extra Revisions.

Each background variant must be individually approved through the portal before download is enabled. Once a variant is approved, it is considered final and no further revisions can be requested for that variant.

Revisions cover adjustments to the background design (wall color tint, lighting, logo positioning and size within the frame, plant type, composition). Changes to the logo design itself are not included as part of a background revision — for that, use the Logo Creation Add-on revisions or purchase an Extra Logo or Extra Logo Revision.

If all included revisions for a variant are used, you may purchase an Extra Background Revision ($17.99) from your portal, provided you are still within the 30-day Revision Window for that pack.

Logo revisions (free or paid) follow the same principle: 2 free revisions per logo, additional rounds available as Extra Logo Revisions ($14.99 each).

10. Delivery Timelines & Force Majeure

Our marketing indicates a typical delivery time of approximately 24 hours for most orders. This is a target, not a binding commitment. Our contractual maximum delivery time is 14 calendar days (see Section 6).

Delivery timing depends on third-party AI services, payment processor confirmations, and our internal workflow. We reserve the right to extend delivery timelines when required by events outside our reasonable control, including but not limited to:

We will communicate any material delay via email. Delays caused by the events above do not constitute a failure to deliver under Section 6.

11. File Availability & Expiration

Your completed backgrounds (and logo concepts) are available for download in your customer portal for 60 days from the date of the last delivery for each pack (the Download Window). After this period, files are permanently deleted from our servers and we will not be able to recover them.

It is your responsibility to download your files before they expire. We will send a reminder email approximately 7 days before expiration, but receipt of that reminder is not a precondition to the expiration. If you did not receive our emails (check spam and deliverability settings), the expiration still applies.

12. AI-Generated Content

BackgroundPro uses artificial intelligence technologies to create your Digital Products. By using the Service, you acknowledge and agree to the following:

13. Customer Content: Warranty & Indemnification

When you upload a logo (or other brand assets) or provide a logo brief, you represent and warrant that:

You grant us a limited, worldwide, royalty-free license to use your submitted content solely for the purpose of generating your Digital Products, storing those products in our systems, and delivering them to you.

You agree to indemnify and hold harmless MW Marketing Partners LLC, its officers, employees, and agents from any third-party claim, liability, damage, or expense (including reasonable attorneys' fees) arising from content you submit or from your breach of the warranties above.

14. Customer Account Security

You are responsible for maintaining the confidentiality of the login credentials we send you for the customer portal. Any activity under your account — including upsell purchases initiated via the 1-click saved-card flow — is your responsibility.

Notify us immediately at alyssa@backgroundpro.work if you suspect unauthorized access. We are not liable for losses arising from your failure to protect your credentials.

15. Intellectual Property

Upon delivery and approval, you receive a non-exclusive, perpetual, worldwide license to use the delivered Digital Products (backgrounds and, if applicable, logos from the Logo Creation Add-on or Extra Logo purchases) for your personal or business purposes, including but not limited to video calls, presentations, marketing materials, social media, and brand assets.

The license covers all Digital Products from all packs (original and additional) tied to your order.

You may not:

You retain all rights to your existing logo and brand assets that you provide to us. We do not claim ownership of any materials you upload.

If this license is revoked under the Chargeback Policy (Section 8), you must cease all use of the affected Digital Products and destroy all copies in your possession.

16. Third-Party Services (Sub-Processors)

The Service is built on top of the following third-party providers, which process some of your data on our behalf:

17. Acceptable Use

You agree not to use the Service to:

We reserve the right to refuse, suspend, or terminate any order or account at our sole discretion if we reasonably believe this section has been violated. In such cases, we will attempt to notify you and, where feasible, offer a refund for the unfulfilled portion of the order.

18. Age Requirement

You must be at least 18 years old to place an order. By purchasing, you represent that you meet this requirement. We do not knowingly process orders placed by minors.

19. Limitation of Liability

To the maximum extent permitted by applicable law, MW Marketing Partners LLC and its officers, employees, agents, and sub-processors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of profits, data, reputation, or business opportunities — even if we were advised of the possibility of such damages.

Our total aggregate liability for any claim arising from or related to the Service shall not exceed the total amount you paid to us in the 6 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited (for example, liability for death or personal injury caused by negligence, or for fraud).

20. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the backgrounds will achieve any specific result in your video calls — performance depends on your camera quality, lighting, framing, network conditions, and video conferencing platform. AI-generated content may vary in style and accuracy.

To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

21. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

22. Changes to These Terms

We reserve the right to update these Terms at any time. Non-material updates (clarifications, formatting, third-party name changes) take effect when posted on this page with an updated "Last updated" date.

Material changes that materially reduce your rights or materially increase your obligations will be announced via email to your order email address at least 30 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

23. Severability & Entire Agreement

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MW Marketing Partners LLC regarding the Service, and supersede any prior or contemporaneous understandings.

24. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved in the courts of Sheridan County, Wyoming.

Nothing in this section deprives you of any mandatory consumer protection rights available to you under the laws of your country of residence, where applicable law requires those rights to apply.
